I am a 2x entrepreneur who has raised over $20M in VC funding, so when i say this is a must-read IF you want to raise money I am speaking out of experience.I wish I had this book in 2007, when I was trying to raise money. Terms like "double ratchet anti-dilution", "preferred", "participation", "vesting pool' or "liquidation events" were all terms that I was completely ignorant about. worst yet, our attorneys had to explain these to me, and at $750/hr it was a costly lesson. $30 for this book would have saved me $1,000's in legal fees, and hundreds of thousands in earnings.Well, but now that i have read this book my long-held view about VCs is further perpetuated.VCs are in the business to accomplish two things: (1) preserve their LP capital (i.e. don't lose money). and (2) earn outsized earning to makeup for all the duds (i.e. take everything you can).Note, "make the entrepreneur lots of money" is not on the list. This is something that the authors and most VCs, including Mark Suster on his talks/blogs will confirm this. As an entrepreneur you end up working for the VCs and will get wealthy if your company ends up being one of the 0.01% of VC companies that have very successful exits. If your company does just "great", or "OK" then expect to earn nothing from the exit - while the VC will walkaway with 2x to 5x of the investment.This is not a bad thing if you expect to be in the 0.01%, but as that number indicates - it's not likely.so lets look at the main two things covered in this book that describe how VCs make money:VCs get their money from pension funds, alternative asset funds, government organizations, and basically any large sources of capital that is looking for risk-adjusted better-than-average returns. these are the clients of VCs and these are the folks they are accountable to. So if they don't produce the expected returns, or worse yet lose their capital they won't be in business for too long.To increase the odds of staying in business they do two things:(a) push the risk to the entrepreneur and all the "common" investors - do you own "common stock" or "preferred stock"? 'nough said.(b) make the ownership disproportionate to the proceeds of liquidation - meaning, if the ownership is split 50/50 between the founder and the VC then during the sale most of the proceeds (60% to 80%) will go to the VC.this is done by instruments like "preferred class", "full participation", "anti-dilution" and other similar means that create asymmetry in risk/reword. Just read chapters 4 and 5 of the book if you need to see examples.BTW: Does this sound familiar? we had a similar situation in the financial crisis of 2008. Banks created asymmetry in the housing market where they held disproportionate amount of the reword while the risk was pushed out to the homeowner and rest of the economy.So, if as an entrepreneur and you have created a business that is cashflow-positive, and has a great product and market opportunity then think twice about the VC option. There are many other ways to raise money - loans, venture debt, private equity, and good ol' sales...Granted, this might not be the fastest way to grow your company and presents the risk of being overtaken by a well-funded company. But if you know that the market is big enough for more then one player (even if you're #2), and you want to keep a larger amount of your hard-earned money and reduce the influence of VCs then think twice about the VC option.But if you think your company is the next Facebook or Google then go for it. However, most founders endup working in "indentured servanthood" to VCs because they end up relinquishing control and ownership of the company while working long hard hours for little pay.Buy this book. Read it. Explore all your capitalization options. Weigh the costs and benefits. But whatever you decide make sure to focus on creating a kick-a$$ products for a kick-a$$ markets more so then about raising money. If you have a great company money will find you.Hope this helps your decision process.

This is the second time in my life I find myself doing the rounds to collect proper money from investors. First time, more than fifteen years ago, I used the Bagley and Dauchy classic “Entrepreneur’s Guide to Business Law” and I thought it was pretty good. This book is quite simply in a different league.The authors, seasoned VC entrepreneurs, have a gift for writing and that’s what carries you through the book. It’s all very serious, of course, but the writing style is as far from dry as you can imagine.So I’m reading this and the only thing that keeps me from saying “OK, boys and girls, this covers everything, it’s the gospel” is the simple fact that if I was a VC I’d write a book that makes the case for the VC’s interests rather than the entrepreneur’s. So from where I stand, and I’m an entrepreneur, I’d want an entrepreneur to have written the book.The authors actually go a long way toward addressing this concern: the summary for every section has actually been written by entrepreneur Matt Blumberg and rather often it’s hardly a summary; it emphasizes different point from Brad Feld’s, lending credibility to the book and making the reader more comfortable.So this is basically a tremendous book and if you’re raising money you need to buy it and read it. If for some mysterious reason you don’t want a preview, on the other hand, look away now, because what follows is my summary of the key points:--------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------Chapter 1: “The Players”• You need to be talking to a Managing Director or a General Partner• You need a good, experienced lawyer: this is an awful place to skimp• Mentors are greatChapter 2: “How to Raise Money”• You need an elevator pitch, an executive summary and a 10-slide powerpoint presentation• “We haven’t seen a business plan in more than 20 years”• Your financial model must get the potential expenses right; forget about nailing the revenues• Do your homework on your VC and don’t press any clearly advertised wrong buttons• If you feel like your VC is a proctologist, run for the hills• Ask your VC for references from entrepreneursChapter 3: “Overview of the Term Sheet:• It’s not a letter of intent; it’s a blueprint for your future relationship with your VC• Two things matter: economics and controlChapter 4: “Economic Terms of the Term Sheet”• Understand the difference between pre-money and post-money• The VC will try to stick the options pool in the pre-money valuation• You must have a Plan B to be able to negotiate good economic terms• Competition aside, valuation will depend on the stage of the company, the team’s experience, the numbers, the suitability for the VC and the economic environment• Liquidation Preference arises because VCs come in with preferred stock and means the VC gets its money first. This can be very dilutive if the next round is a down round.• Fully Participating stock receives its participation amount and then shares in the liquidation process on an as-converted basis• A cap can be put on the participation• Under “pay to play” provisions, investors who do not participate in the next round get converted to common stock.• Typically, employee stocks and options will vest over four years and disappear if somebody leaves• Consideration must be given to treating the vesting as clawback with an IRS Section 83(b) election• Acceleration of vesting upon change of control is a key feature, don’t leave it out!• Antidilution provisions may be requested by the investor for the case where new common stock is created after the financingChapter 5: “Control Terms of the Term Sheet”• At the beginning it will be 1. Founder, 2. CEO, 3. VC, 4. 2nd VC, 5. outside board member• Don’t allow observers on your board• Make sure the Protective Provisions allow you to borrow a reasonable amount of money• Your investors need to vote as a single class• There will be a drag-along provision (majority of shares on as-converted basis is the law in Delaware)• There will be a conversion clause (so VCs can vote alongside common stock when they must)• An automatic conversion clause can be there to force VCs to give up on their preferred ahead of a sale.• If there is an automatic conversion threshold, it must be the same for all classes of stock.Chapter 6: “Other Terms of the Term Sheet”• Dividends might be requested by dorky VCs with Private Equity background.• Noncumulative dividends that require board approval are OK. Supermajority even better.• Redemption rights on the preferred (say after 5 years) can be put in by VCs that have the maturity of their fund in mind.• Adverse Change Redemption Rights are evil, because there is no good definition for adverse change.• Conditions Precedent to Financing should be avoided at all costs.• Information Rights are A-OK.• Registration Rights are A-OK. The world is good if you’re going public.• Right of First Refusal had better be restricted to big investors.• Right of First Refusal had better be pro-rata.• Restriction on Sales is a clause that allows the company itself the right of first refusal.• The Proprietary Information and Inventions Agreement is a clause you actually need.• A Co-Sale Agreement allows investors to sell along with founders.• A No-Shop Agreement had better expire automatically if the sale falls through and should have a carve-out for acquisitions.• A standard Indemnification clause is good corporate hygiene, but it means you need to buy directors’ insurance.• The Assignment clause needs to be read carefully: look for the loophole “assignment without transfer or the obligation under the agreements” which should not be there.Chapter 8: “Convertible Debt”• Convertible converts at a discount to the next financing.• The purpose is to defer the discussion about the value of the company.• A floor on the value of the stock protects the entrepreneur.• A ceiling protects the investor, but can hurt everybody because it guides (caps!) the next investors on price.• You should put a reasonable time horizon on an equity financing as a condition, or you will find the debt converted before you had time to do the financing.• You should set upfront the minimum amount of financing that triggers the conversion.• The interest rate on the debt should be as low as possible.• There must be clauses regarding the sale of the firm while the debt is outstanding.• Technically, a startup with convertible debt is insolvent!!!• Warrants attached to debt are an alternative to the discount on convertible debt.• Warrants should deliver the most recent class of stock at the most recent round’s price.• Warrants are long-term (e.g. 10 year) call options.• Warrants had better expire at a merger/acquisition unless they are exercised prior to the merger.Chapter 9: “How Venture Capital Funds Work”• Fees received from the LP are higher during the “Commitment Period” during which funds can still be committed to new investments.• Follow-on investments can still be made during the investment term of the fund.• VCs recycle their management fee into the LP if returns during the early life of the fund are good.• If a fund is approaching the end of its life, you don’t want them to invest in you and most probably they can’t anyway.• Ask your VC when they made their last investment. If it was more than 12 months ago, run for the hills.Chapter 10: “Negotiation Tactics”• Get a good result, do not kill your personal relationships and understand the deal you struck.• This deal is not your lawyer’s.• Find out who you are dealing with.• Have a solid Plan B.• Get the VC to tell you the top 3 things he wants (erm, good luck with that, I say)• Always be transparent.• Never make an offer first.• Understand what market terms are.• Bear a bad deal, because the acquirer might deliver you from it.Chapter 11: “Raising Money the Right Way”• Don’t ask for an NDA.• Don’t carpet bomb VCs.• No means no.• Don’t be a solo founder.• Don’t overemphasize patents.Chapter 13: “Letters of Intent – The Other Term Sheet”• (N.B. that means you’re selling the firm)• They will beef up the options plan, right out of the offer they’ve shown you.• An asset deal is crap: you have no assets but must still close the firm down.• If they are offering illiquid stock, that’s something you’ll need to invest the time to evaluate yourself!• You will have to give representations and warranties and if they are qualified by “to the extent currently known” you will have to sign them.• Escrow is the practice whereby part of the offer is put to one side until some conditions have been met. This is a big burden, especially if the consideration is in stock. Fight it as much as possible.• No-shop clauses should expire the moment the buyer terminates the process.• Don’t negotiate your deal at the beginning (that looks awful) but don’t leave it last either.Chapter 14: “Legal Things Every Entrepreneur Should Know”• IP issues can kill a startup before you even really begin.• Delaware• Non-accredited investors have a right of rescission!• Don’t forget to file an 83(b) Election• When you write options to your employees, get them 409A - valuated

Shortly after finishing the book, I had a question about one of the sections and emailed Jason and Brad at 2:30am. Within 6 hours I have a comprehensive response from Jason giving me more insight into the questions I'd raised and why everything isn't always as it seems in an acquisition scenario. Well worth the read for any aspiring entrepreneur or junior venture capitalist who feels out in the deep.

I've read pretty much every book out there about Scientology, and this is the only one I've read in one sitting.Nathan's story is incredibly compelling, and though it won't give you any insights into the functioning of the higher ups of the church - there are plenty of other books for that - this is the story of a young man who was born into and grew up in Scientology, and who was utterly failed by his church and (heartbreakingly) by his own mother.Being sent off - twice! - to abusive Scientology youth ranches, where he learned all the wrong things (except how to think well on his feet, obviously), getting sucked into the kind of street/drug culture that's unfamiliar to most of us, but astoundingly pulling himself out. Holy crap: I was surprised to find the story of an ordinary Scientologist pull me (and move me) so strongly.What kind of church (or mother) treats a kid this way? Seriously.And though many books by former Scientologists see their story watered down by poor writing and/or lousy book production, this is not one of them: it's easily up to the quality of Scn books by professional journalists such as Tony Ortega or Steve Cannane. The wonderful, almost lyric, writing kept me turning virtual pages until I hit the end.The combination of captivating story, stellar writing, and excellent book formatting/production made this a treat to read.

It has taken me a while to write this. Nathan's journey has haunted me. Without giving much away - his childhood was a living hell. His parents were Scientology "true believers" and this allowed them to put Nathan through unspeakable trauma and abuse. Scientology has a belief that Children are simply adults in small bodies. Children are totally responsible for their lives and actions. While I never subscribed to that point of view, I had a child during the time Nathan was also a child. I remember being lectured (while under guard in their slave labor camp), that is was beyond OK to leave my 2 and a half year old son alone in Los Angeles. He was a "thetan" and did not require parental supervision. The woman telling me this went on to explain that her three year old got into the poisons under the kitchen sink - but her child "knew better" - cause the child was an immortal spiritual being. My husband and I escaped that labor camp and found out son the next morning, never to leave him in the hands of Scientologists again. But what of the children left behind? While I was taking care of my child,,,,, children like Nathan were left in the disgusting cesspool of Scientology abuse. I never connected those dots until I read Nathan's harrowing account growing up under the umbrella of Scientology. Of course once Nathan was "of age" he was again left to fend for himself and found himself in another cesspool, that of America's growing homelessness and drug addiction. They say "what doesn't kill you makes you stronger", I don't know if that is true or not, but it certainly seems to be in Nathan's case. Despite the deaths of other 'Scientology youth" through suicide, Nathan escaped that ending. Despite the deaths - daily - of America's youth to drug abuse and homelessness, Nathan escaped that ending. He is still standing. He is living a good life. I hope he is enjoying it. And instead of just moving on, he decided to dig deep and go back to these horrific periods of his life and share them with the world. He chose to speak, not just for himself and all the injustice done to him, but also for those who didn't make it out alive. Nathan is my new Superhero. Read this book and he may become yours as well.

JUST finished this and it was a story I could not put down! Related to some of the familial issues and then as a parent, my heart broke for the little boy seeking love and approval.Nathan’s story is not for the faint-at-heart but one I feel everyone should read. Don’t know how to describe much of what’s spinning through my head without spoiling the journey, so I’ll just say that this is one of those books that speaks to everyone differently. Lessons to be learned, the ripple effect of kindness and very importantly, why high-control groups such as Scientology damage and abuse in a multitude of ways!The pacing starts slow (in a necessary way) then builds, builds AND builds, yet I could still picture the environment he describes and it didn’t feel rushed. There are moments that will make you squirm a bit, but in a way that comes across as raw and real vs. gratuitous. Many stories seem to end abruptly when paced like this, but this builds to the perfect crescendo while the shared photos at the end take you right back to the beginning.Thank you for sharing your story!

The author describes so well the actual mentality of many people (I guess you could call them parents?) raising children in scientology and their priorities. Minimal education, little comfort, no supervision, sink or swim mentality. Many children are on their own. They are loved and admired for choosing to follow scientology, or considered a problem if they don’t. It’s hard to convey the true level of abandonment and utter madness that is life as a scientologist, but Nathan does it very well.

The best book I read all year. It fully describes the history, economics, politics, processes, taste, and recipes for rum. It is extremely well written and as exciting as reading a mystery thriller. The only thing lacking are illustration, of which the book could use a few, especially on the historical equipment, etc. A highly recommended book. I ended up buy a book on cognac after this just to get a full understanding.

Following in the footsteps of my review of Wayne's book, "The Last Great Walk," which I began with the exact same phrase, " Following in the footsteps of...," I am now doing so again for his revised and updated version of, "And A Bottle of Rum," which, frankly, I did not review on "...Rum's..." inaugural voyage.First off: any cat whose rule of thumb is, "never visit a new state without stopping by a liquor store to see what's in stock," has my full endorsement. Period. Exclamation Point. I'm buying you a drink.The subheading of the book is, "A History of the New World in Ten Cocktails." This is true. These cocktails are (in order of appearance in this intoxicating Cast-of-Characters): Kill-Devil, Grog, Flip, Bombo, Punch, Prune Water, Daiquiri, Rum & Coke, Mai Tai, Mojito. And each one, literally, does contribute to telling an accurate history of the New World that pulls together quite neat-ly, nicely and last call when all of their histories are taken as a whole.From Ernest Gantt to Ernest Hemingway, I truly wish my high school history class presented the facts of our genesis in this manner. And not to be missed are these other libations of wackiness when you sidle up to this literary bar: "Where the Wet Begins," and, "he liked to paint 'ice-skating nuns and perky otters.'" Really.One reason why I drink and obsess about and seek the history of cocktails is because of the world they fostered and the celebrities that drank them and the way they are celebrated in their art of dedicated creation by those bartenders that do it best. Not much is sexier than enjoying a toe-curling generational cocktail that helped change our world with great company in an amazing bar. Nothing. (Well. Almost nothing...)And when you do so, you are a part of that history. "And A Bottle of Rum," is the real deal. Read it if you enjoy, are intrigued by or fascinated by any of the above.For those of you who always look for a (Mc)fly in your drink, the only quibble I have is that Wayne says of the Papa Doble and the Hemingway Special, that, "Neither drink, it saddens me to report, is of much merit."Says you! I differ in opinion--and fall to the yummy side of--this matter of Ernest Hemingway. But why quibble while quaffing? There are plenty of rumbunctious libations we can agree on. Relax, choose one--or many--and put thy toes in the proverbial sand...with, "And A Bottle of Rum," in hand.

Love the book! The history of Rum and cocktails made for a very interesting read. Wayne has great way of telling the stories with a rum sense of humor. He's just a few bottles short of being pirate. The rum drinkers will understand it well. The only downside of reading this book is your going to want to try most of the drink recipes listed in the book.Cheers!

A very enjoyable book, though for me, it started a little slowly. But after a chapter or two, I was hooked. As the subtitle suggests, author Curtis doesn't just present a history of rum, though this is covered in admirable detail, but interweaves the story of rum with the concomitant history of the U.S., the West Indies, and even Europe to some degree, from the 17th century onward. Mr. Curtis is adept at describing the connections between the spirits trade, patriotism, slavery, and other seemingly disparate topics, while correcting myths and dubious assertions. Readers are treated to the alcoholic origins of many curious customs and expressions, such as "at loggerheads." Students of history, philology and/or libations will likely find "And a Bottle of Rum" quite to their taste.

An extremely interesting read. I very much enjoyed the author's use of anecdote to convey history in a more entertaining way than just giving facts and figures. However, I will say that a lot of the anecdotes seemed to be based more on the authors imagination than actual history. Sentences about the historical figures' thoughts and feelings are almost undoubtedly Mr. Curtis's own interpretation and not backed in research. In several instances, the reader gets the sense that Mr. Curtis is conveniently using these kinds of historical liberties to skew perceptions and alter the gravity of the quantitative source material (whether to make the fact more or less significant).Overall, it is an entertaining and informative read. I high suggest this book.

Just a great book on the history of Rum and it's place int he new world. From the development of rum as a use for the waste molasses in the Caribbean to the Mojito craze of the 1980's. Wayne Curtis does a fine job of taking you through the history of Rum and introduces you to many of people who shaped it's path along the way, by dividing eras of rum history into the favorite rum cocktail of that age. I found the book to be both very interesting and informative. Kind of like a fun to read history book that involved one of my favorite distilled spirits. If you are a fan of rum and want to know more about it, or you are just interested in the history of America's first national spirit then I believe you will really enjoy this book.

History should always be told this way, with humor and with an obvious context. Really it's a social history of North America, examined through the context of social gathering places. That is, ones that serve alcohol. Or actually, ones that serve rum in particular. The rises and falls of the rum industry, which sometimes corresponded with other alcohol and sometimes were in complete opposition, turns out to be fascinating. Learned a lot, and had fun doing it.

This book presents more history--and dispels more historical fiction--than most textbooks. It is a fun and relatively easy read. The cocktails are delicious.

It is ONLY a book of study questions to act as a companion to the original book. If you are in a study group, looking to lead one, or even if you just want to study more on your own, you want to purchase this in addition to the original book, the study questions make you think and evaluate your relationship with your spouse and focus on improving your prayer life. I highly recommend all of the books; just be aware of which one you are purchasing, each series uses the same cover art on all three books.

I am currently unmarried, but I am in a committed relationship with a gentleman who is a Godsend. I wanted to pray for my boyfriend daily, especially since he is currently deployed to another country, but wasn’t always sure what to pray. In years past, I’ve heard about “The Power of a Praying Wife.” The Holy Spirit led me to check it out. This book is such a BLESSING! I read a chapter a day. I am currently on chapter 25. The book not only assists me in praying biblically-sound prayers for my man, but it is anointed. Each day I pray, the chapter’s topic just so happens to coincide with what my man is going through and/or addresses a pressing issue about his character. I absolutely love it! This book has also helped me understand some of the pressures that men face. I am becoming more compassionate, patient, and less frustrated with my man. I personally appreciate this book because it is helping me to keep my focus/contentment on Christ, pray instead of nag, and address my own character flaws as I study the provided scriptures. In addition, I’ve noticed that my boyfriend’s thought-processes and conversations are starting to change for the glory of God. Even though my man and I are physically separated, I feel more connected with him than ever before. I HIGHLY RECOMMEND THIS BOOK!!!

I adore this book. I have a beautiful new copy. The size of it is so perfect too. I'm really thankful that I found what I believe to be is the original version of the "The Power of a Praying Wife" book. As I was searching for this, it seemed like there were a lot of different versions made that include other materials within the book (?). Mm, I'm not sure but I've started reading it so far and it's such an easy read. Stormie writes in such a honest, real, candid way that it really speaks to me. We vow "for better or for worst, sickness or in health, richer or for poorer." I meant every word I said to my husband, so this book definitely encourages, assists and challenges wives to stand and be about their word. I love it.This book is not for the faint in heart! Every woman that is either married or desires to be, ought to own this book and read it cover to cover. You will surely be a blessing beyond belief.

I am SO disappointed...and it's my own fault. I am writing this as a warning to others.First, I thought I was ordering the Power of Praying for your Adult Children book, not book of prayers. I had planned to give the book to friends.Second, it is not even a book of the prayers from the book, but very short snippets of the prayers.The book is the size of a small index card, not a full-sized book. Had I taken the time to investigate by opening the pages of the book online, I would have seen and never ordered the books.

I recently reviewed The Power of Praying for Your Adult Children in somewhat of a skeptical attitude. I put the book away. Lately, my heart kept tugging at me to get the book back out and re-read it. I opened to the chapter about When your adult child is in rebellion. I read it, highlighted it, referenced scripture and realized that Stormie gives incredible heart felt advice. I am finding valuable information and tools on how to pray for my children AND to keep from blaming myself for their grown up mistakes. I apologize for my earlier review and hope I didn't discourage anyone from reading this book. It is giving me hope and encouragement every morning!

This book, along with some others, truly saved my life. It not only saved my life - but gave me a glorious life. Every battle I go through as a Christian, I come back to it time and time again. I have prayed the prayers so many times I have them memorized by now, and therefore, often pray them over other women. I also have probably put Stormie's children through college because of how many copies I have purchased for girlfriends. Teehee! It has single handedly also either changed or saved their lives. I agree with another reviewer, make sure to check that you are not ordering just the book of prayers or the study guide; as the original book is the BEST. Packed full of wisdom. So much wisdom, in fact, that it will help you as a baby Christian and/or speak to you completely differently as a mature, spiritual warrior Christian. I just can't say enough about Stormie and her books. I want her to read this so that she knows what an impact this book has/had on my life. Bless you, Stormie, just Bless you!

This is not advertised correctly. I thought it was the book PLUS the Study Guide. The description needs to be more clear, I really wanted the book only but purchasing it with the Study Guide seemed even better and now all I have is the Study Guide...
